These Terms of Service ("Terms") govern your access to and use of the Keelvia application and related services (the "Service"), operated by Livesync Inc ("Keelvia," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Keelvia is a profit-analytics tool for Shopify and direct-to-consumer brands. It connects to your store and ad accounts to calculate revenue, costs, and net profit, and provides AI-assisted insights and recommendations. Features and integrations may change over time.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and authorized to bind any business on whose behalf you use the Service.

5. Subscriptions & Billing

Keelvia offers a free plan ($0/month) and paid plans (currently $49/month and $99/month). Paid subscriptions are billed through our payment provider, Polar. By subscribing, you authorize recurring charges to your selected payment method until you cancel.

You may cancel at any time; cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by law, fees already paid are non-refundable. We may change pricing with reasonable notice.

The Service includes AI-generated insights, recommendations, and reports. These are provided for informational purposes only and are not financial, accounting, tax, legal, or investment advice. AI output may be incomplete or inaccurate. You are solely responsible for decisions you make, and you should verify outputs and consult qualified professionals before acting.

7. No Warranty; Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that calculations or AI outputs will be accurate.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVESYNC INC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Upon termination, your right to use the Service ends. Data deletion is handled as described in our Privacy Policy (within 48 hours of account deletion or app uninstall).

9. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising from these Terms or the Service.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
